Terms & Conditions

Hiive is a technology platform and digital marketplace. Hiive acts solely as a facilitator of connections between users and between users and independent third-party service providers including venues, clubs, organizers, trainers, coaches, and event operators (collectively, "Service Providers").

Hiive does not own, operate, manage, control, supervise, inspect, insure, endorse, or guarantee any venue, event, game, class, activity, session, booking, service, or offline experience made available through or connected to the Platform. Hiive is not a party to any transaction, arrangement, agreement, or interaction between users or between users and Service Providers.

Nothing in these Terms, the Platform, or any communication from Hiive shall be construed as creating any agency, partnership, employment, franchise, joint venture, or fiduciary relationship between Hiive and any user or Service Provider.

By using the Platform you irrevocably confirm that: (a) you have read and fully understood these Terms; (b) you are legally competent to enter a binding contract; (c) you accept these Terms without modification; (d) all information you provide is accurate; and (e) you will comply with all applicable laws.

If you use the Platform on behalf of any entity, you represent that you have full legal authority to bind that entity and that entity also accepts these Terms.

You may only use the Platform if you are of the minimum legal age in your jurisdiction and are not barred from doing so by applicable law, court order, or prior suspension. Hiive reserves the right to refuse registration, restrict features, suspend accounts, or terminate access at its sole and absolute discretion, at any time, without notice, and without liability.

You are solely and entirely responsible for: (a) maintaining the confidentiality of your credentials; (b) all activities that occur under your account, whether authorized by you or not; (c) the accuracy of your account information; and (d) the security of your device and account access.

Hiive has no obligation to verify the identity of any person using your account. Hiive shall not be liable for any loss, damage, claim, or expense arising from unauthorized access to or use of your account, regardless of cause.

THE PLATFORM IS PROVIDED STRICTLY ON AN "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIIVE EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, CONDITIONS, AND GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

any warranty of merchantability, satisfactory quality, or fitness for a particular purpose;

any warranty that the Platform will be uninterrupted, timely, secure, accurate, complete, or error-free;

any warranty regarding the identity, conduct, suitability, reliability, or safety of any user or Service Provider;

any warranty regarding the quality, safety, legality, availability, or accuracy of any listing, event, venue, booking, or activity;

any warranty that defects will be corrected or that the Platform is free from viruses or harmful components;

any warranty regarding third-party services, integrations, or platforms.

No advice, statement, or information — whether oral or written — obtained from Hiive, its staff, or through the Platform shall create any warranty not expressly stated in these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HIIVE INTELLIGENCE PVT. LTD. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, SHAREHOLDERS, AFFILIATES, LICENSORS, PARTNERS, AND AGENTS WILL NOT BE LIABLE — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL OR EQUITABLE THEORY — FOR ANY OF THE FOLLOWING:

any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind;

any loss of profit, revenue, business, data, opportunity, goodwill, or anticipated savings;

any harassment, assault, misconduct, discrimination, abuse, stalking, fraud, or harm caused by any user or third party;

any property loss, theft, or damage;

any cancellation, delay, no-show, denied entry, overbooking, poor service, or failure by any Service Provider;

any payment failure, refund dispute, chargeback, or transaction error;

any technical failure, downtime, data loss, cyber incident, unauthorized access, or security breach;

any reliance on ratings, rankings, reviews, recommendations, maps, routes, or any Platform content;

any offline meeting, interaction, game, event, activity, or experience arranged through the Platform.

IN ALL CASES WHERE LIABILITY CANNOT BE FULLY EXCLUDED BY LAW, HIIVE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS COMBINED SHALL NOT EXCEED THE GREATER OF (A) INR 500 (FIVE HUNDRED RUPEES) OR (B) THE AMOUNT YOU PAID DIRECTLY TO HIIVE FOR THE PLATFORM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, SUBJECT TO APPLICABLE LAW. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, WILFUL MISCONDUCT, OR PERSONAL INJURY OR DEATH CAUSED BY NEGLIGENCE WHERE SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

You expressly acknowledge and agree that: (a) use of the Platform and participation in any sports, fitness, social, or offline activity involves inherent and significant risks, including risk of bodily injury, illness, death, and property damage; (b) you assume risks that you knowingly and voluntarily choose to accept; (c) Hiive does not supervise or insure third-party activities; and (d) your use of the Platform is at your own risk. This section does not waive a right that cannot lawfully be waived.

You agree to fully defend, indemnify, and hold harmless Hiive and all its directors, officers, employees, contractors, affiliates, licensors, and agents from and against any and all claims, demands, actions, losses, damages, liabilities, penalties, costs, and expenses (including reasonable legal fees) arising out of or in any way relating to:

your access to or use of the Platform;

your User Content;

your interactions with any user, Service Provider, or third party;

your participation in any event, booking, activity, game, or offline interaction;

your violation of these Terms or any applicable law;

any service, event, or listing you create, host, or manage through Hiive;

any claim that your User Content infringes any third-party right.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE HIIVE AND ITS AFFILIATES FROM CLAIMS ARISING OUT OF OR RELATING TO:

any interaction with another user, whether online or offline;

any event, game, booking, venue, activity, or experience arranged through the Platform;

any cancellation, refund dispute, injury, accident, loss, or harm;

any conduct, act, or omission of any Service Provider or third party;

any content, rating, review, recommendation, or information on the Platform.

This release does not apply to liability that cannot legally be released, or to Hiive's fraud, wilful misconduct, or negligence where applicable law prevents that liability from being excluded.

Hiive maintains a strict ZERO-TOLERANCE policy for objectionable content and abusive users. You agree not to: violate any applicable law; impersonate any person or entity; harass, threaten, abuse, intimidate, or harm any person; post hate speech, sexually explicit material, violent content, or fraudulent content; use the Platform for scams, phishing, or illegal activity; upload malicious code; scrape or harvest Platform data without written permission; reverse-engineer the Platform; misuse booking, refund, rating, or payment systems; or engage in any conduct that creates risk or liability for Hiive.

Hiive will immediately review reported violations within 24 hours. Any user engaging in abusive behavior or uploading objectionable content will face immediate account suspension or permanent termination, and such content will be removed promptly.

You retain ownership of content you submit. By submitting any content, you grant Hiive an unconditional, worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, distribute, translate, create derivative works from, display, commercialize, and otherwise use that content for any purpose, without restriction or compensation to you.

In-App Flagging and Moderation: The Platform provides in-app reporting tools allowing users to flag objectionable content or abusive posts directly to our moderation team. Reported content is reviewed within 24 hours and acted upon immediately if found in violation.

In-App User Blocking: The Platform enables users to block any user who engages in harassment or abusive behavior. Blocking a user prevents further direct messages, hides shared activity, and restricts interaction across the Platform.

Service Providers are independent third parties. Hiive is not the organizer, operator, employer, agent, insurer, or guarantor of any Service Provider. Service Providers are solely responsible for their listings, services, safety, pricing, availability, and refund policies. Disputes with Service Providers must be resolved directly with them. Hiive has no obligation to mediate or resolve any such dispute.

Bookings, cancellation policies, and refund eligibility are governed by the terms of the relevant Service Provider displayed at the time of booking. Hiive may charge platform fees disclosed at checkout, subject to applicable law. Payments are processed by third-party processors; Hiive is not liable for payment failures, bank errors, or processor outages except where liability cannot lawfully be excluded. Hiive may cancel or modify bookings as permitted by the applicable provider terms and law.

Your use of the Platform is also governed by our Privacy Policy (https://hiive.club/privacy-policy), which explains what information we collect and how we use, share and retain it.

We use third-party analytics and measurement providers to operate, measure and improve the Platform. These currently include PostHog, for product analytics on our website and apps, and Meta Platforms, through Meta Pixel and the Conversions API on our website and Meta SDKs in our apps, for advertising measurement. These providers collect and process information about your use of the Platform, such as device and usage data, pages and screens viewed, and conversion events, as described in the Privacy Policy and under their own terms and privacy policies.

Sharing advertising measurement signals with Meta is optional and off until you allow it. You can manage or withdraw that choice at any time at https://app.hiive.club/privacy/ad-measurement or through Ad Measurement in the app. Declining does not affect your access to your account, bookings or purchases.

All rights in the Platform — including software, design, branding, algorithms, data, and content created by Hiive — belong exclusively to Hiive or its licensors. You have no right to copy, modify, distribute, sell, sublicense, reverse-engineer, or exploit any part of the Platform without prior written permission from Hiive.

Hiive may modify, suspend, discontinue, or restrict any feature, pricing, content, or aspect of the Platform for operational, safety, legal, or business reasons. Where required by law, we will provide notice or any applicable remedy. Hiive is not liable for downtime, data loss, technical failure, or service change except to the extent such liability cannot lawfully be excluded.

Hiive may suspend, restrict, or permanently terminate your account at any time, without notice, for any reason, including but not limited to breach of these Terms, applicable law violations, conduct creating risk for Hiive or others, or purely for operational or business reasons. Hiive has no obligation to provide a reason. Upon termination, your right to use the Platform ceases immediately and all provisions that by their nature should survive (including IP, disclaimers, liability limits, indemnity, and release) will survive.

These Terms are governed by the laws of India. Subject to any mandatory consumer or other statutory rights, the competent courts in Mumbai, Maharashtra, India will have jurisdiction over disputes arising from or relating to these Terms or the Platform.

Before initiating any proceedings, you agree to contact Hiive and attempt informal resolution for a period of 30 days. If unresolved and if arbitration is legally available for the dispute, the dispute may be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in Mumbai, India, conducted in English by a sole arbitrator. The arbitrator's decision will be final and binding to the extent permitted by law. Nothing prevents a user from exercising a non-waivable statutory right.

Notwithstanding the above, Hiive may at any time seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or Platform integrity.

Any feedback, ideas, or suggestions you provide to Hiive become Hiive's property. Hiive may use, commercialize, and exploit such feedback without restriction or compensation.

Hiive may update these Terms from time to time. Updated Terms will be posted on the Platform with a revised date and, where required, we will provide additional notice. The updated Terms apply from their stated effective date, subject to applicable law. If you do not agree to a material change, stop using the Platform.

If any provision of these Terms is found invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and all remaining provisions will remain in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Hiive regarding the Platform and supersede all prior agreements.

If you downloaded the Hiive application from Apple's App Store, these Terms are between you and Hiive, not Apple. Apple has no obligation to furnish maintenance or support services for the application and is not responsible for addressing claims relating to the application, except as required by applicable law.

Your use of the application must also comply with the applicable App Store terms. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable provisions against you to the extent permitted by law.
